1. Introduction and Definitions

These Terms of Service (“Terms”) govern access to and use of the SKDL.ME platform (“the Service”), provided by Astral Prism S.r.l.s., with registered office at Piazza Roma 5, 00015 Monterotondo (RM), Italy — VAT and Tax ID 18380411001, REA RM-1781416 (hereinafter “SKDL.ME”, “we” or “the Company”).

For the purposes of these Terms, the following definitions apply:

  • “Service”: the SKDL.ME platform accessible via the website skdl.me, including all its scheduling, calendar management and booking features.
  • “User” or “Account Holder”: any natural or legal person who creates an account on the Service.
  • “Guest”: any person who makes a booking through a Booking Page.
  • “Booking Page”: a public page created by the User through which Guests can book appointments.
  • “User Content”: any content uploaded, published or transmitted by the User through the Service, including Booking Page information.
  • “Subscription”: the paid plan subscribed to by the User to access premium features of the Service.

The complete agreement between the parties consists of these Terms, the Privacy Policy, the Cookie Policy and, where applicable, the Data Processing Agreement (DPA).

2. Acceptance of the Terms

By accessing or using the Service, you agree to be bound by these Terms and all documents incorporated herein by reference. If you do not accept these Terms, you must not use the Service.

We encourage you to review these Terms periodically, as they may be updated. Your continued use of the Service following any changes constitutes acceptance of the updated Terms.

3. Eligibility and Age Requirements

To use the Service you must be at least 16 years old. To subscribe to a paid Subscription you must be at least 18 years old or the legal age to enter into binding contracts in your jurisdiction.

If you use the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

4. Description of the Service

SKDL.ME is a scheduling platform that enables Users to create Booking Pages, connect Google and Microsoft calendars, configure their availability and allow Guests to book appointments. The Service includes booking management features, automatic notifications and integration with third-party calendars.

The Service is constantly evolving. We reserve the right to add, modify or remove features at any time, with reasonable notice for material changes.

5. User Account

To use SKDL.ME you must authenticate via a Google or Microsoft account (OAuth). By creating an account, you agree to:

  • Maintain the security of your linked Google/Microsoft accounts
  • Not share your credentials or allow third parties to access your account
  • Assume responsibility for all activity conducted through your account
  • Notify us immediately in the event of unauthorised access or suspected compromise of your account

Each person must use an individual account. Sharing accounts between multiple people is not permitted. SKDL.ME reserves the right to suspend or terminate accounts in the event of suspicious activity or violations of these Terms.

6. Acceptable Use

You agree not to use the Service to:

6.1 General Prohibitions

  • Violate any applicable laws, regulations or ordinances
  • Send spam, unsolicited communications or bulk messages
  • Impersonate other persons or misrepresent your affiliation
  • Publish offensive, defamatory, threatening, obscene or illegal content
  • Exploit, harm or endanger minors in any way
  • Collect personal data of other users without their consent
  • Promote illegal activities, pyramid schemes, scams or fraud
  • Infringe the intellectual property rights of third parties

6.2 Technical Prohibitions

  • Overload, compromise or interfere with the operation of the Service
  • Use bots, spiders, scrapers or other unauthorised automated tools to access the Service
  • Reverse-engineer, decompile or disassemble any part of the Service
  • Introduce viruses, malware, trojans or other harmful code
  • Attempt to gain unauthorised access to systems, accounts or data of others
  • Circumvent security measures, authentication or limitations of the Service
  • Use the Service for unauthorised competitive benchmarking

SKDL.ME reserves the right to suspend or terminate access in the event of a violation of these provisions, without prior notice and without prejudice to any other legal remedy.

7. Booking Pages

You are responsible for all content published on your Booking Pages, including titles, descriptions, custom fields and any information contained therein. Booking Pages must not contain offensive, misleading, discriminatory or illegal content.

As the creator of the Booking Page, you are the Data Controller for the personal data of Guests collected through it. You are responsible for ensuring a valid legal basis for the collection and processing of such data, including, where necessary, the publication of an adequate privacy notice.

SKDL.ME reserves the right to remove or disable Booking Pages that violate these Terms or that are the subject of well-founded reports.

8. User Content and Licence

You retain full ownership of all User Content that you upload or create on the Service. By using the Service, you grant SKDL.ME a limited, non-exclusive, worldwide, royalty-free and revocable licence to:

  • Display the content of your Booking Pages to Guests who access them
  • Process the data necessary for the provision of the Service (notifications, calendar, etc.)
  • Store content on our servers for the duration of your account

We will not use your User Content for marketing, promotional purposes or for the creation of derivative materials without your explicit written consent. SKDL.ME reserves the right to remove User Content that violates these Terms.

9. Subscriptions and Payments

SKDL.ME offers a free plan with limited features and paid plans with advanced features. By subscribing to a Subscription, you agree to the following:

  • Recurring billing: Subscriptions are billed in advance on a monthly basis.
  • Automatic renewal: the Subscription renews automatically at the end of the current period, unless cancelled before the renewal date.
  • Payment processing: payments are processed by Stripe, subject to its own terms of service. SKDL.ME does not collect or store credit card data.
  • Variable pricing: the cost of the Subscription may vary based on the number of users and the selected plan, as indicated on the pricing page.

9.1 Price Changes

We reserve the right to change Subscription prices with at least 30 days' notice via email. Changes will take effect at the next Subscription renewal. Continued use of the Service after the application of the new rates constitutes acceptance thereof.

9.2 Free Plan

The features included in the free plan may be changed at our discretion. We reserve the right to limit, modify or remove features of the free plan at any time, with reasonable notice.

10. Refund Policy

  • Right of withdrawal (EU): pursuant to Directive 2011/83/EU, you have the right to withdraw from the Subscription within 14 days of the subscription date, obtaining a full refund. The right of withdrawal lapses if you have expressly consented to the immediate provision of the Service and have acknowledged the loss of the right of withdrawal.
  • After the withdrawal period: Subscription fees already paid are non-refundable for unused partial periods.
  • Discretionary refunds: in exceptional circumstances, SKDL.ME may consider partial or full refunds at its sole discretion.

11. Third-Party Integrations

The Service integrates with third-party services, including Google Calendar, Microsoft Outlook and Stripe. In relation to such integrations:

  • SKDL.ME is not responsible for the operation, availability or policies of third-party services.
  • The terms of service and privacy policies of third-party providers apply separately and independently from these Terms.
  • SKDL.ME may suspend, modify or remove integrations at any time, including as a result of changes made by third-party providers.
  • You are responsible for maintaining active and functioning accounts with the third-party services required for the proper operation of the integrations.

Use of integrations is at your own risk. SKDL.ME does not guarantee continued compatibility with third-party services and is not liable for any disruptions, data loss or interruptions caused by such services.

11.1 Disclaimer for Google and Microsoft

GOOGLE LLC AND MICROSOFT CORPORATION PROVIDE NO WARRANTY, EXPRESS OR IMPLIED, IN RELATION TO THE SKDL.ME SERVICE OR ITS USE OF GOOGLE OR MICROSOFT APIS. GOOGLE AND MICROSOFT SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM THE USE OF THE SERVICE OR THE INTEGRATION WITH GOOGLE OR MICROSOFT SERVICES.

The Service is not sponsored, endorsed or affiliated with Google LLC or Microsoft Corporation. Use of Google and Microsoft services within SKDL.ME is subject to the respective terms of service and privacy policies of Google and Microsoft, which apply in addition to these Terms.

11.2 Calendar Ownership and Access

When you connect an external calendar account (such as Google Calendar or Microsoft Outlook) to the Service, you acknowledge and agree to the following:

  • Each external calendar account is uniquely associated with its registered email address. Multiple users may connect the same external calendar account, each using their own authentication credentials.
  • If the owner of an external calendar email address registers on the platform, all calendar connections using that email address held by other users will be automatically disconnected. Affected users will be notified via email.
  • To continue accessing a disconnected calendar, you may invite the calendar owner to join your team through a paid Team subscription, or connect a different calendar account that you own.
  • SKDL.ME is not liable for any disruption, loss of scheduling data or availability gaps resulting from automatic calendar disconnection.

12. Intellectual Property

The Service, including its design, source code, user interface, logos, trademarks, graphics and all original content, is the exclusive property of Astral Prism S.r.l.s. and is protected by Italian, European and international laws governing intellectual property, copyright and registered trademarks.

Unless expressly authorised in writing, the following is prohibited:

  • Reproducing, modifying, distributing or creating derivative works from the Service
  • Using the trademarks, logos or branding of SKDL.ME
  • Creating competing services based on the Service or its architecture
  • Systematically copying or extracting content from the Service

13. Feedback and Reports

If you voluntarily provide us with feedback, suggestions, ideas or bug reports, you grant us a non-exclusive, worldwide, perpetual, irrevocable and royalty-free licence to use, modify and incorporate such contributions into the Service without any obligation of compensation or attribution.

No feedback shall be deemed confidential information of the User. Bug reports may be submitted through the official support channels.

14. Copyright Infringement

SKDL.ME respects the intellectual property of third parties. If you believe that content published on the Service infringes your copyright, you may report it to [email protected] by providing:

  • Identification of the copyrighted work you believe has been infringed
  • Identification of the infringing content with sufficient information to locate it
  • Your contact details (name, address, email, phone number)
  • A good-faith statement that the use of the material is not authorised by the copyright holder
  • A statement, under penalty of perjury, that the information provided is accurate

SKDL.ME reserves the right to remove infringing content and to terminate accounts responsible for repeated violations.

15. Warranty Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, SKDL.ME expressly disclaims all warranties, including, without limitation, the implied warranties of:

  • Merchantability and fitness for a particular purpose
  • Non-infringement of third-party rights
  • Uninterrupted, secure or error-free operation
  • Accuracy, reliability or completeness of synchronised calendar data
  • Continued availability of the Service or third-party integrations

Use of the Service is at your sole risk. These exclusions do not apply to the extent they are prohibited by applicable law, in particular by the Italian Consumer Code (Legislative Decree 206/2005) for consumers.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SKDL.ME SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.

This includes, without limitation:

  • Missed appointments or scheduling conflicts
  • Calendar synchronisation issues
  • Loss of data, profits, business opportunities or goodwill
  • Business interruption
  • Damages arising from the use or inability to use the Service

Maximum liability cap: in any event, the aggregate liability of SKDL.ME to you for any claim arising from or related to the Service shall not exceed the total amount you have actually paid to SKDL.ME in the 12 months preceding the event giving rise to the claim. For users on the free plan, aggregate liability is limited to zero.

These limitations do not apply in the case of wilful misconduct, gross negligence, death or personal injury resulting from negligence, nor in any other circumstance where such limitation is prohibited by applicable law.

17. Indemnification

You agree to indemnify, defend and hold harmless SKDL.ME, its directors, employees and contractors from any claims, damages, losses, costs or expenses (including reasonable legal fees) arising from or related to:

  • Your breach of these Terms
  • Your use of the Service
  • User Content that you upload or publish
  • Infringement of third-party rights
  • Violation of applicable laws, including data protection regulations, in the use of your Booking Pages

18. Service Availability

We are committed to providing a reliable and highly available Service; however, we do not guarantee 100% uptime. The Service may be temporarily unavailable due to:

  • Scheduled maintenance: with reasonable notice via email or in-app notification.
  • Emergency maintenance: urgent interventions for security or stability, without prior notice.
  • External causes: interruptions of third-party services (Google, Microsoft), network issues or force majeure events.

Temporary interruptions of the Service do not constitute a breach of contract and do not give rise to refunds or compensation.

19. Data Protection

The processing of personal data within the scope of the Service is governed by our Privacy Policy.

19.1 Processing Roles

As described in the Privacy Policy, SKDL.ME acts as Data Controller for Account Holder data and as Data Processor for Guest data collected through Booking Pages. The Account Holder is the Data Controller for their own Guests' data.

19.2 Data Processing Agreement (DPA)

For Account Holders who collect personal data of Guests through their Booking Pages, the terms of the Data Processing Agreement (DPA) are automatically incorporated into these Terms pursuant to Art. 28 of the GDPR. The DPA governs the manner in which SKDL.ME processes Guest data on behalf of the Account Holder. A copy of the full DPA is available upon request at [email protected].

19.3 HIPAA Disclaimer

The Service is not HIPAA compliant (Health Insurance Portability and Accountability Act). Do not use the Service to collect, store or transmit protected health information (PHI) without having first entered into a Business Associate Agreement (BAA) with SKDL.ME. Use of the Service for health data without a BAA is at the User's sole risk.

20. Termination

20.1 Cancellation by the User

You may delete your account at any time from your profile settings. Cancellation entails:

  • Immediate cessation of access to the Service
  • Deletion of your personal data within 30 days, as set out in the Privacy Policy
  • No refund for prepaid unused Subscription periods (except for the EU right of withdrawal within 14 days)

20.2 Suspension or Termination by SKDL.ME

SKDL.ME reserves the right to suspend or terminate your account in the following cases:

  • Violation of these Terms or Service policies
  • Fraudulent, abusive or suspicious activity
  • Failure to pay Subscription fees
  • Prolonged inactivity (with at least 30 days' notice)
  • For any other legitimate reason, with reasonable notice

In the event of a serious violation or imminent security risk, suspension or termination may take effect immediately and without prior notice.

20.3 Effects of Termination

Upon termination of the account, all rights and licences granted under these Terms shall cease. Provisions relating to intellectual property, limitation of liability, indemnification, warranty disclaimer and general provisions shall survive termination.

21. Force Majeure

Neither party shall be liable for delays or failure to perform its obligations caused by events beyond its reasonable control, including, without limitation: natural disasters, wars, terrorism, pandemics, epidemics, government orders, Internet or telecommunications disruptions, third-party service failures, cyber attacks or power outages.

The affected party shall promptly notify the other party of the force majeure event. If the impediment persists for more than 90 days, either party may terminate the contract with 30 days' written notice.

22. Electronic Communications

By creating an account, you consent to receive electronic communications from SKDL.ME, including:

  • Operational communications: booking confirmations, reminders, modification/cancellation notifications, security alerts and service updates. These communications are essential for the operation of the Service and cannot be disabled.
  • Promotional communications: newsletters, product updates and offers. You may opt out of these communications at any time via the unsubscribe link included in each promotional email.

23. Governing Law and Jurisdiction

These Terms are governed by Italian law, without regard to its conflict of laws principles.

For any dispute arising from or relating to these Terms or the Service, the exclusive jurisdiction lies with the Court of Milan, Italy, unless otherwise mandatorily provided by law.

For users who qualify as consumers under the Italian Consumer Code (Legislative Decree 206/2005), mandatory consumer protection rules apply, including the consumer's forum. For online alternative dispute resolution, you may also use the European Union ODR platform at https://ec.europa.eu/consumers/odr.

24. General Provisions

  • Severability: if any provision of these Terms is declared invalid or unenforceable, the remaining provisions shall remain fully valid and effective.
  • Waiver: the failure or delay by SKDL.ME in exercising any right shall not constitute a waiver of that right.
  • Entire agreement: these Terms, together with the Privacy Policy, Cookie Policy and DPA (where applicable), constitute the entire agreement between the parties and supersede any prior understanding or agreement, whether oral or written.
  • Assignment: you may not assign or transfer your rights and obligations under these Terms without the prior written consent of SKDL.ME. SKDL.ME may assign its rights and obligations to third parties in the event of a merger, acquisition or transfer of business.
  • Survival: the provisions relating to intellectual property (Sec. 12), warranty disclaimer (Sec. 15), limitation of liability (Sec. 16), indemnification (Sec. 17), governing law (Sec. 23) and these general provisions shall survive the termination of the Terms for any reason.

25. Changes to the Terms

We reserve the right to modify these Terms at any time. In the event of material changes:

  • We will notify you via email and/or in-app notification at least 30 days in advance
  • We will clearly indicate the nature of the changes and the effective date
  • You will have the right to withdraw within 30 days of the notification if you do not accept the changes

Continued use of the Service after the effective date of the changes constitutes acceptance of the updated Terms.
